Constitution of the Cannabuben Club

This document is a working template based on standard South African consumer-retail and Section 21 cannabis-supply practice. It will be reviewed and signed off by a POPIA- and consumer-law-qualified attorney before public launch.
1. Preamble
The Cannabuben Club (the “Club”) is a private members’ association constituted as a closed-loop sharing community for adults who have a lawful private interest in cannabis, hemp and related wellness products. The Club operates within the framework of the Constitutional Court judgment in Minister of Justice and Constitutional Development v Prince (2018) and the Cannabis for Private Purposes Act, 2024 (Act 7 of 2024).
The Club is founded on the rights guaranteed by the Constitution of the Republic of South Africa, 1996 — in particular section 14 (the right to privacy), section 18 (freedom of association) and section 22 (freedom of trade, occupation and profession).
2. Nature of the Club
The Cannabuben Club constitutes a private physical space and a private digital domain. Cannabuben.co.za is the private digital domain of the Club. Access to the digital domain is restricted to verified members.
The Club is a private members’ club. Access to its products, premises and digital domain is restricted to verified members. The membership fee covers Club administration, member access, member education and the member services described in this Constitution.
3. Membership
- Applications for membership must be submitted via the digital registration form on cannabuben.co.za and are scrutinised by the Director for compliance prior to acceptance.
- Membership is open only to natural persons who are 18 years of age or older and who provide valid identification (South African ID or Passport).
- Members agree to participate in the Cannabuben Club for an initial period of thirty (30) days from the date of acceptance of these terms, on a rolling-window basis.
- By completing the registration process digitally, the Member accepts that the terms of membership and the provisions of this Constitution are binding upon them.
4. Membership Fees
- The basic membership fee is R49 per month (Bronze tier) on a thirty (30) days rolling window. Higher tiers (Silver R99, Gold R199) carry additional benefits as set out in the Member Tier Schedule.
- Members are not obliged to maintain membership every month. If membership has expired, the Member must pay the renewal fee before they may visit the Club’s physical space, access the digital domain, or request dispensing of products.
- The membership fee is a fixed periodic fee for the Member’s chosen tier (Bronze, Silver or Gold), charged on the thirty (30) day rolling window. It is set by tier and is not calculated by reference to the quantity of any products a Member requests.
5. Member Rights
The Club Member is entitled to:
- Information, gifts, social meetings and gatherings organised by the Club;
- Access to all Club areas of the physical premises (where applicable);
- Access to the Club’s online content, dispensing catalogue, and member-only facilities;
- Private wellness advice through Club consultation channels, including educational content concerning Schedule-0 CBD products and, by referral, the Section-21 medical cannabis pathway via the Club’s clinical partner Docto24.
6. Member Responsibilities & Indemnification
- The Club Member accepts full responsibility for the use of any gifts, allocations or services they have earned or obtained through the Club, and indemnifies the Club, its directors, officers, employees and contractors against any claim arising from such use.
- The Member undertakes to use, consume and store all allocated products in a private space, in compliance with the Cannabis for Private Purposes Act, 2024, and never in public spaces, in the presence of children, or in the presence of non-consenting adults.
- The Member undertakes not to re-share or transfer Club allocations to any non-member, and never for consideration. Any member-to-member conduct remains the Members’ own private responsibility and must stay within the possession limits set by the Cannabis for Private Purposes Act, 2024 and its regulations.
7. Cannabis for Private Purposes Act compliance
The Club operates within the framework set by the Cannabis for Private Purposes Act, 2024:
- Allocations occur in a closed-loop digital and physical private domain;
- Allocations occur between consenting adults only;
- Membership fees are fixed periodic fees for Club membership, administration and member services;
- No supply takes place to minors, in public spaces, or in the presence of non-consenting persons;
- Members’ possession of allocations remains within the limits set by the Act and its regulations.
8. Compliance & Standards
The Club intends to align its operations with the South African Cannabis Clubs Alliance (SACCA) Code of Compliance, and applies the following standards:
- Compliance Officer. The Club designates a Compliance Officer accountable for the Club’s adherence to this Constitution and the standards set out below. Contact details are published on the Information & Compliance Officer page.
- Record-keeping. The Club maintains a confidential Member Registry together with internal distribution and incident records, held securely under the Protection of Personal Information Act, 2013 and used only for internal accountability.
- Product standards. Products are lab-tested where possible and supplied in discreet, child-safe, labelled packaging indicating, where known, the batch or harvest date and estimated THC/CBD content.
- Prohibited practices. The Club does not advertise cannabis to the public, does not supply or involve minors, does not permit resale to non-members, and does not hold public cannabis events without membership control.
- Responsible use & review. The Club educates members on responsible use and conducts an annual internal compliance self-audit.
9. Termination of membership
- A Member may resign at any time by written notice (e.g., email to hello@cannabuben.co.za) or by allowing membership to lapse at the end of a rolling window.
- The Director may terminate membership at any time, with or without notice, for breach of this Constitution, breach of the Terms & Conditions, or any conduct that brings the Club into disrepute or exposes the Club to regulatory risk.
10. Governing law
This Constitution is governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with this Constitution falls within the jurisdiction of the High Court of South Africa, Western Cape Division.
11. Acceptance
By completing the registration form digitally, the Club Member declares that he or she is over the age of 18 years and agrees to all of the terms and conditions of membership.
